The following was formulated for the purpose of ensuring growth and

practical business operations, for you to use on a regular basis. Please refer to them when you have questions about Mega Coop Network or need to clarify any concerns about our business practices.

Mega Coop Network also known as MCN reserves the right to revise this information at any time.

Mega Coop Network uses the term participant or nominal Member to refer to her new intake.

When you register as a member with Mega Coop Network you agree to follow and be bound by

the Mega Coop Network Rules and Regulations and Policies and Procedures,which are amended from time to time.

Violations of the Cooperative Code of Ethics and Policies, Participant Agreement, or the written Policies and Procedures may be cause for cancellation of participation. Please read through these Policies and Procedures carefully to fully benefit and understand your rights and responsibilities as a Member or participant of Mega Coop Network.

Mega coop network is a reward system anchored by Mega investment cooperative society an online based cooperative to reward its members and build their businesses and lives through the registrations of all members

MEMBERSHIP

MEGA GRANT FOOD AND CASH- Membership Entry shall be a onetime nonrefundable payment of

N3000 , N10,000, N50,000, N100,000 and N10000

for Mini , Boss, Executive, vice chairman entry registration packages/levels respectively and Regular membership registration respectively.

This includes your donation to the empowerment programme that we offer to the less privileged, your involvement in the cooperative reward plan and an

opportunity to shop in our online Store (MCN Store)as the case may be.

REGULAR MEMBERSHIP

Registering as a regular member is for the sole purpose of having access to non collateral base/interest based loans and the joining fee is solely for documentation, giving you a place on our platform. This is not a guarantee to give the loan.

You must meet the requirements for the loan you are requesting. This requirement includes your savings habit for 6months and 2 active members as guarantors

As a registered member on the platform, you can also engage in our interest based online esusu, Ajo, savings structure and earn interest at the end of the duration.

MEGA INVESTORS

Registerin as an investors requires first a registration as a regular member of the cooperative which empowers the cooperative to access the investors funds and use it in line with our Cooperative MOU.

MEMBERSHIP CODE OF ETHICS means that:

•By registering on the platform, you agree to be a nominal member of mega investment cooperative society and you agree to follow the highest standards of honesty and integrity in all that You

do.

•You will not involve in any investment activities, creating ghost accounts

that will negatively affect Mega Coop Network .

•You will not make negative or disparaging remarks about Mega Coop

Network, Mega investment cooperative, coordinators,employees, representatives, services or project.

•you will present our marketing plan accurately and honestly, clearly portraying the level of effort required achieving success.

•you will carry out all the duties of referring, sharing, sponsorship as the case may be honestly and be responsible leader as you

develop promotion team. You will treat everyone, whether they are in your team or

not, with the same courtesy.

•You will not promote Mega Coop Network or mega cooperative society as a pyramid scheme.

• You will not produce marketing or training aids of any kind for sale to other promoyters

without the prior written permission from the Cooperative.

•You will consistently put forth your best efforts to promote the success of the business

You will not engage in activities that will cause loss to Mega Coop Network or her members.

•You will not use the organization's name, information literature, gatherings of people or other Company Resources to further other business interests.

•You will abide by all Policies that pertain to the operation of the cooperative business.

During the course of a Membership and for two years thereafter, neither the

Promoters nor their spouse,

or any other person assisting in a Membership will, directly or indirectly

(through or by means of any

person, entity, or artifice), solicit, promote, sponsor or recruit any Mega Coop

Network members

or any Mega Coop Network partners they became aware of in the course of

their Mega Coop Network

International partners membership, to join, promote, sell, or purchase

products of, or participate in as a

salesperson or otherwise, any multi-level marketing or direct sales company,

nor will they encourage

anyone to do what is prohibited under this rule. Violation of this rule is likely

to result in termination of the

membership/participant and all Mega Coop Network Benefits.

OVERVIEW OF POLICIES AND PROCEDURES

A Megacoop Partner is considered to be a duly authorized and fully

registered member, herein after called

Megacoop grant food and cash participant, if Mega Coop Network accepts the completed Application and Agreement.

Company reserves the right to accept or reject any member's Application and Registration form without having to assign any reason for its acceptance or rejection.

All Megacoop participants are independent promoters and are neither agents

nor employees of Mega Coop Network

The Promoter is responsible for bearing all costs and expenses incurred in the conduct of their participation.

However it should be noted, that all members must meet their own personal

qualification levels to qualify

for the rewards from the Reward Plan.

A Member shall be responsible for the activities of a spouse, whether or not

the spouse participated in the

membership. For example, a member may not have engaged in an activity (such as conduct which diminishes,damages or weakens the reputation of Mega Coop Network participants or its services) and the spouse engages in that activity, the member shall be deemed to haveengaged in that activity

and shall be considered to be in violation of the applicable rule. Violation of this rule is likely to result in termination

of the participation and all Mega Coop Network participants Benefits.

MAINTENANCE OF MEMBERS ACCOUNT INFORMATION

It is the responsibility of each member to update any registration details of their account such as email

address, postal address,pins, passwords, mobile phone number and other related confidential details. This will ensure the member is kept up to date with all updates from the cooperative. These updates are also posted in the News/Events section if available of the Mega Coop Network website and dashboard of each member’

Mega Coop Network and mega investment cooperative society will not be responsibility for any loss (moral, physical or financial or legal or any other kind of loss) by being a participant or mistakes caused by entering wrong information into registration form/ misrepresentation by any member or order person.

SECURITY

Each member must keep their E-token, password, e-wallet password, transaction pin and

other secure access information

confidential and notify Mega Coop Network promptly if the member believes

that the security of an

account has been compromised and the member should change the login

details immediately . Members must use their e-token immediately to

prevent it from been stolen. Mega Coop Network has taken reasonable steps

to protect the

security of online transactions. However, Mega Coop Network cannot and

does not guarantee such

security and will not be liable for any losses or damages resulting from any

security breaches.

BUILDING A PERSONAL MARKETING TEAM

Members have the option of building a personal marketing team by

introducing the REward Plan to

interested people who are willing to undergo business training as Cooperative business is a crowd business It is the

responsibility of such Member to

assist in the training, and monitor the activity of members of its personal

marketing team or referrer line. Any person registering in the network business plan has the right to choose his or her Sponsor.

Any disputes regarding Sponsoring genealogy shall be decided by the network organizers.

A sponsoring Member must not exaggerate the earning potential that may result from this business opportunity.

A sponsoring Member is obliged to fairly and fully explain the marketing/ reward plan to all prospective participants/Associates, making sure to stress that the degree of success is directly

related to individual effort, team work and

ability of each participant.

Mega Coop grant, food and cash network encourages team work/ team building and advise members to choose their team and leaders well as we may not delve into team matters/issue that may arise in teams unless when necessary. Teams should settle their matters amicably.

CROSS LINING

Cross lining or cross sponsoring is where a member solicits other Mega Coop

Network members

who are not in their team or line of sponsorship to become a member in their

sales team.

Mega Coop Network members may NOT introduce other Mega Coop Network

to other similar

opportunities unless the person is personally introduced member or a

closely related person. A "closely

related person or entity" is any person in the household of the member (e.g.

spouse, son, daughter,

parent living in the same household) or any corporation, partnership, limited

liability Company, trust or

other legal entity, which is controlled by the Member.

Cross lining is strictly prohibited in Mega Coop Network and may result in the

imposition of

penalties including immediate termination of the members account and

participation in MCN Reward plan.

TRADEMARKS AND MARKETING MATERIALS

Members will not use the Mega Coop Network/mega investment cooperative society trade names and/or trademarks except to promote Mega Coop Network. In all such authorized use, Members will ensure that

they represent themselves as an independent representative and that all marketing efforts are the responsibility of the member and not the cooperative or the network.

Any sales and marketing materials supplied by Mega Coop Network may NOT be sold to other parties or participants at a profit and that any purchase of these materials from Mega Coop Network does not qualify members for any reward payments.

Mega Coop Network makes no warranty, express or implied, with respect to the use, efficacy or suitability for any purpose with respect to any such marketing material

unless otherwise explicitly stated in writing in connection with the purchase thereof.

THIRD PARTY MARKETING MATERIALS CREATED BY MEMBERS PARTICIPANTS

Members may create their own marketing materials. Any marketing

materials that use the name

Mega Coop Network, mega investment cooperative society or any of MCN logo, trademarks or trade names MUST be approved by compliance department of Mega Coop Network and mega investment cooperative society before they can be used.

A Compliance Approval Form is available on request via email or whatsapp from your dashboard member area or as the case may be.

Mega Coop Network has no liability or responsibility for any content, including the quality, accuracy, completeness, legality, or usefulness of any information, product, service or process promoted on members web site or other marketing materials.

In no event shall Mega Coop Network or mega investment cooperative society be liable for any claims or damages of any kind arising from the contents of any website or marketing materials created by a Member.

References in a members website or marketing materials to products, services, processes, hypertext links to third parties or other information by trade name, trademark, manufacturer, supplier or otherwise do not constitute or imply an endorsement or recommendation by Mega Coop Network or MICS

Members are not permitted to take advantage of Cooperative's name and are therefore not permitted to either infer or imply that they have a direct association or affiliation with the Cooperative by promoting themselves by way of Mega Coop Network name variations.

LITERATURE

Mega Coop Network/platform produces approved literature for use by Members. All promotional material appearing in the Members Virtual Office is approved for downloading to print and copying onto disc for promotional use to prospective members however it may not be altered or added to in any way.

COMPLIANCE APPROVAL

All submissions for compliance approval can be made by completing the form in the members secure

dashboard area or via whatsapp or as the case may be.

MEGA COOP NETWORK WEBSITE

On occasion, Mega Coop Network will undergo routine maintenance or experience unexpected technical problems. Mega Coop Network will make a good-faith effort to do maintenance as quickly and conveniently as possible, and to respond to technical problems promptly. Mega Coop Network may be required to access a Member account dashboard from time to time to provide maintenance.

Mega Coop Network or MICS will not in any circumstances be responsible for problems, losses, or damages arising from loss of connectivity; errors in content due to application problems; loss of access by Member/participant; or temporary or permanent loss of data.

PRESENTATION AND COMMUNICATION OF REWARD PLAN

When a Member presents Mega Coop Network to others they should understand all aspects of the rewards program and not make any representation or promise that is not in this agreement or reward plan or in Mega Coop Network literature and promotional materials.

This representation includes print media, video/audio media or any other form of advertisement/ promotion.

If a prospective Member relies on any promises made by a Mega Coop

Network participant that is not stated in this Agreement and/or official company materials, and the member fails to keep any such promise, the prospective members shall only have recourse against the member and not Mega Coop Network or MICS.

If the member has unfulfilled promises made they have the option of lodging a complaint with MCN or MICS. Upon receipt of such a complaint, the organization will or may investigate the matter as it deems necessary and, upon validation of such a complaint, impose appropriate penalties on the offending members/participant. Such action however will not and may not result in any recovery of damages by the prospective member, which the prospective member is free to seek against the offending member, not the Organization.

MEMBERS RIGHTS AND RESPONSIBILITIES

Members who choose to promote Mega Coop Network are able to earn money and rewards through Mega Coop Network’s REWARD Plan. The Member understands and agrees to abide by the Members Agreement. A Member understands they are bound by the terms hereof and that the member will be entitled to participate upon acceptance of a valid application for participation.

To earn through the Compensation plan a Member needs register with the cooperative and through the group joint effort or personally refer or introduce or sign-up at least two persons or share the group links on the social platforms. Either directly through one-on-one or through a referrer posts. Members are responsible for their own marketing and accept that any rewards earned are >the result of consistent promotional or marketing efforts. Mega Coop Network makes no guarantees that a member will qualify or earn the rewards unless he or she achieves the stage that is required for such reward. A cooperative network is built on new members registration or onboarding

Members are responsible for ensuring any new member of their personal marketing team are aware of the policies and procedures, how the Compensation or Reward plan works, and how to take advantage of the empowerment, earnings, incentives and privileges

Any Member who has attained the stage to receive Any reward or bonus, and decided to stop working due to ignorance or lack of focus, such act may call for the company’s termination of the bonus or reward, we have zero tolerance to abandonment.

INCOME REPRESENTATION

Members understand that any rewards or earnings that are offered from Mega Coop platform/Network through the Commission Plan are the result of members referring or signing up other willing members to the cooperative network as new entrants either directly or indirectly.

Advancement in the binary system is not based solely on the introduction of other members but in their ability to be actively involved in the promotion of the empowerment opportunity.

No member may make any promise or guarantee that a member will derive any specific income or profit from the income opportunity as a member of Mega Coop Network.

Any reward or income a member earns or receives through the reward plan is a direct result of the marketing efforts of the members and other members in their sales team.

Members must meet the required qualifications as set out by Mega Coop Network to receive rewards or get paid from the Reward plan.

MISREPRESENTATION

Members will not misrepresent Mega Coop Network in any manner whatsoever at any time.

For purposes of this policy, misrepresentation includes, but is not necessarily limited to the following:

Reviewing the marketing plan with any person without clearly advising them

that no remuneration is received solely for enrolling or sponsoring new Member.

Reviewing the marketing plan with any person without clearly advising them

that there is no requirement

to pay a fee other than the Entry Fee or as may be stated here.

Stating that any person has made or may make any specific income through

the use of the marketing

plan and by the generation of income, whether by specific example,

geometric progression, or otherwise.

Unless in the same presentation it is stated that said hypothetical or

potential earnings, as earnings may

vary due to individual efforts, geographic location, timing and many other factors.

POLICY CHANGES

Members agree that Mega Coop Network may from time to time make changes to its benefits, rewards and

opportunities, services, sign-up fees, marketing plan and incentives.

Members will be made aware of changes via email to the email address listed in their account details, social media platforms as well as posting updates in the UPDATE section of the Mega Coop Network website or members Module or official group chat. It is

the responsibility of each member to ensure the email address, other information entered in the registration listed in their account is valid and that they check regularly their inbox in member dashboard for the latest updates. Members agree to abide by all changes.

FEES PAYMENT

Mega Coop Network will deduct Withdrawal fee from any cash withdrawal

including incentives converted to cash, each bank account withdrawal and

ewallet transfers made by

members. This fee shall be equal to 5-20% (for encashment above N2000) and

N100-N200 for below N1001, minimum transfer to registration ewallet shall be N2000. This fees may increase or decrease as the case may be and the actual percentage is determined by mega coop and it may differ from time to time.

Mega Coop reserves the right to increase or decrease without notice to members.

MegaCoop reserves the right to convert incentives to cash or not to.

AWARD/INCENTIVE QUALIFICATION CLAIMS

Mega Coop reserves the right to choose the day to give out the incentives.

To claim the incentives at each stage, members must have 2 downlines with them in their current stage this is to discourage abandonment and encourage team work and follow up. For example, to claim the incentive for stage 1 upon completion of this stage, you must have 2 downlines with you in stage 2 which is your current stage.

CONFIDENTIALITY

Members understand that the Mega Coop Network marketing plan, details of

their progress in the rewards program, details of Mega Coop Network sales team, and official company literature are proprietary information and considered trade secrets of Mega Coop Network and MICS.

Members hereby agree to not directly or indirectly disclose or use any of said confidential or proprietary information except to specifically promote MCN opportunity in accordance with the provisions of this Agreement. Members further agree that this provision shall survive the expiration or termination of this Agreement for a period .

TRANSFER OF MEMBERSHIP ACCOUNT AND BENEFITS

Members may transfer or assign its interests in its business asset / any continuing income and the inherent future potential of its earnings. In such an event, the remaining period of income and incentives shall also be transferred to the purchaser or heir. For Mega Coop Network to acknowledge the transfer, the tranfering Members must supply proof of the transfer in the form of a signed letter or deed by both parties detailing that the sale has been made as well as providing details of the receiver including all the listed in their profile.

Mega Coop Network

will advise the parties by email if the transfer has been approved.

CANCELLATION

If a member wishes to cancel their Agreement and participation with MCN, such member should notify MCN by sending an Email to support@ megacoopnetwork.org provided such member is in the food and cash network. The membership is cancelled, upon due findings by Mega Coop that the member is not trying to defraud or cheat Mega Coop network by any means possible. If that membership is cancelled and Mega Coop takes over the account and do what ever is deem fit with it, that member may not apply for new membership for at least 3 months after MCN has received the notice of cancellation and cancelled or transferred the membership. MCN will not the refund the package registration fee but the memberdhip will be terminated with 90days.

The member has the opportunity to retract the cancellation before the end of the 90 days. MCN reserves the right whether to refund the registration fee or not to.

The payment for registration is not forced, non-refundable and the Sponsor of such member has been paid commission for such referrer.

So MCN will at her discretion refund membership registration fee or not. Members should not take the refund as a right nor is it an investment in MCN but rather a forum created to help and

improve member's standard of living in any good way possible. It is known rule to pay registration fees before joining any cooperative society our gesture is to guarantee that if you are not paid as said after meeting up with the rewards conditions, you won't lose your registration fee

MCN reserves the right to cancel a members Agreement if there be any breach by the member. Regular members registration fee is also Non-refundable.

INDEMNITY

Members indemnifies and holds Mega Coop Network harmless against all claims made by any third party, and any related damages and expenses (including reasonable attorney's fees), arising out of or connected with the members conduct, the members module or online store, the services the members offers, or any violation of this agreement by members.

LIMITATION OF LIABILITY

Mega Coop Network makes no warranties, express or implied, related to the

“Mega Coop Marketing Plan", services rendered there under or, including but not limited to warranties of Empowerment and privilege of purpose.

Mega Coop Network will not be liable to any member for indirect, incidental, special or consequential damages, such as (but not limited to) loss of profits or business interruption, arising out of or connected to the use of, or inability to use, the Mega Coop Network "Reward plan", related services, or marketing materials provided to any Member. The

Mega Coop Network shall be in totality not liable for any and all damages arising from or connected with this Agreement, the “Mega Coop Network

Rewars Plan" or the services, or marketing materials provided to any member not excluding the total entry/registration joining fees paid by the members to Mega Coop Network which has been used as commission/rewards to other members.

IMPOSITION OF PENALTY

If any member breaches any of the provisions of this Agreement, violates any applicable law or regulation or engages in any false, misleading or unfair marketing practice, including but not limited to, making misleading income representations or making promises to potential Members that cannot be kept by member, (herein called "Violation") any such Violation is grounds for the imposition of penalty, as more fully set forth hereafter.

The Organization may suspend the Member, including suspension of rewards earned at the time, Blocking of Account pending investigation of any alleged Violation. The participant shall be given notice of the alleged Violation by email, whatsapp or as the case may be or other rapid method of communication and shall have seven days to respond in writing (verbal response will not be considered) to any alleged Violation (s), failing which, the Organization can consider the allegation to be true. (It is particiapant's responsibility to see that Organization receives the response, with supporting documentation, if any, within the seven-day period.)

If at the end of the investigation it is determined that Member is to be penalized, the date of the impositionof the penalty can be, at the Organization's option, The date of the penalty notice

The date of the notice of the alleged violation

The date on which suspension, if any, occurred.

Incomes suspended and/or earned, if any, as of the date of a termination,

shall not be paid. Any such payments not paid shall be deemed to be liquidated damages as payment of part of the damages suffered by cooperative for the Violation.

A Member can request that any decision to impose a penalty be reviewed and supply any additional material that may bear on the matter in support thereof within seven days after notice of the penalty is given. The Organization shall then advise the Members of its final decision

The Organization shall have the option of imposing any one or more of the following penalties for Violations:Blocking of the Member's Mega Coop Network Account;Denial or revocation of any Incentive awards otherwise earned; Denial of Fund Earned from sponsored member, binary bonus or from down-line activities;

Imposition of a fine is an amount to be determined by the Organization; and/or Termination of the Member’s Agreement.

No extension of time or indulgence granted by Mega Coop Network to the member shall be deemed in any way to effect, prejudice or derogate from the rights of Mega Coop Network in any respect under this Agreement, nor shall it in any way be regarded a waiver of any rights by Mega Coop Network here under or a negation of this Agreement.

OFFICIAL LANGUAGES/DEFINITIONS

The English version of this Agreement, as maintained by Mega Coop Network is the official version and shall have control over any other language version(s) which may be made available for ease of reference for some

Members/Representatives. As used in the Mega Coop Network materials, when the term, “refer/introduce" and words of similar import are used to describe the enrolment/promotional activities of members this is an abbreviated reference to the promotional activities of member with respect to sales and it is understood.

Likewise, when the term, "recruit" and words of similar import are used to describe the referral and recruiting activities of members, this is an abbreviated reference to the team building activities of Members and it is understood that the agreement by which one becomes a Member is between the Organization and the recruited Member and not between the new member and the referring member.

INCORPORATION OF AGREEMENTS

If Member has enrolled in a " MCN Empowerment Opportunity ", the User

Agreement and Acceptable User Policy are incorporated herein as if fully set

forth.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties on the

subject matter hereof, and no other additional promises, representations,

guarantees or agreements of any kind shall be valid concerning such subject

matter unless in writing and signed by an authorized officer of Mega Coop

Network. This agreement is subject to review including the entry fees and

commission/incentives without prior consent of the members.

RESPONSIBILITY

Mega Coop Network is not responsible for the acts of its Members under any circumstances for their wrongful and illegal activities.

APPLICANT ACKNOWLEDGEMENT

A Member acknowledges that he/she has read, understands and agrees to the terms set forth in this Agreement or any agreement by mail or whatsapp. A member understands that this Agreement is not in force until accepted during the process of registratiion.

ANTI-SPAM POLICY

THIS COMPANY HAS A ZERO TOLERANCE ANTI-SPAM POLICY.

THIS MEANS THAT ANY TEAM LEADER OR MEMBER OR RELATED MEMBER THAT SPAM'S IN ANY WAY SHALL BE IMMEDIATELY TERMINATED WITH ALL RIGHTS FORFEITED.

MEGA COOP NETWORK WILL FULLY COOPERATE WITH ALL ANTI-CRIMINAL AUTHORITIES TO PROVIDE INFORMATION AS TO THE PERSON OR PERSONS THAT ENGAGE IN THE SPAMMING ACTIVITY IN ORDER TO OBTAIN WARRANTS AND CRIMINAL CHARGES AGAINST THOSE MEMBERS.
